By signing up for the Agilito.ai waitlist or using our website, you agree to these Terms of Service ("Terms"). If you don't agree, please don't use our service.

These Terms apply to:

• The Agilito.ai website (agilito.com, agilito.ai)
• Waitlist signup and communications
• Any future beta or product access

"We," "us," "our" means Agilito.ai and CJ Johnson.
"You," "your" means you, the user.

2. Waitlist Participation

What the Waitlist Is

The Agilito.ai waitlist is a pre-launch signup list for early access to our AI-native operations platform.

Waitlist signup does NOT guarantee:

• Access to the product
• Specific timing for beta or full launch
• Any particular features or functionality
• Priority support or special treatment

We reserve the right to:

• Grant access in any order we choose
• Limit the number of users
• Cancel or modify the waitlist program
• Change product plans, features, or pricing

Your Responsibilities

When you join the waitlist, you agree to:

• Provide accurate information
• Use a valid email address you actually check
• Not create multiple accounts to game the system
• Not use automated tools to sign up multiple times

Violation of these terms may result in removal from the waitlist.

3. Use of Our Website

You may use the Agilito.ai website for lawful purposes only.

You agree NOT to:

• Hack, attack, or attempt to gain unauthorized access
• Use automated scraping or data collection tools
• Submit malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Violate any applicable laws or regulations
• Spam, abuse, or harass our team or other users

We reserve the right to terminate access for violations.

4. Intellectual Property

Our Content

All content on agilito.com is owned by Agilito.ai or licensed to us:

• Website design, layout, graphics
• Text, articles, documentation
• Logos, trademarks, brand elements
• Software, code, technology

You may:

• View and use the website for personal, non-commercial purposes
• Share links to our content
• Quote brief excerpts with attribution

You may NOT:

• Copy, reproduce, or republish substantial portions without permission
• Use our trademarks or logos without written consent
• Reverse engineer or extract our code

Your Content

When you submit information (waitlist signup, feedback, suggestions):

• You retain ownership of your content
• You grant us a license to use it for operating the service
• You confirm you have the right to submit it
• You waive any claims against us for using publicly-submitted suggestions

5. Privacy

Your privacy matters. Our Privacy Policy explains how we collect, use, and protect your information.

By using Agilito.ai, you also agree to our Privacy Policy.

6. Third-Party Services

Our website may link to third-party services (Supabase, Vercel, etc.).

We are not responsible for:

Beta Product

Agilito.ai is in development. The product may:

• Change significantly before launch
• Contain bugs, errors, or incomplete features
• Be delayed, modified, or cancelled
• Not meet your expectations or needs

Use at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law:

We are NOT liable for:

• Indirect, incidental, or consequential damages
• Lost profits, revenue, data, or business opportunities
• Damages from use or inability to use the service
• Third-party actions or content
• Security breaches or data loss

Our total liability is limited to:

• The amount you paid us (currently $0 for waitlist members)
• Or $100, whichever is greater

This applies even if:

• We were advised of the possibility of damages
• The remedy fails its essential purpose
• Damages arise from negligence (to extent permitted by law)

9. Indemnification

You agree to indemnify and hold harmless Agilito.ai, CJ Johnson, and our affiliates from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of third-party rights
• Content you submit or actions you take

This means you'll cover legal costs if your actions cause us problems.

10. Changes to Terms

We may update these Terms as Agilito.ai evolves.

When we make changes:

• We'll update the "Last Updated" date
• Significant changes will be announced via email or website notice
• Continued use after changes means you accept the new Terms

If you don't agree with changes:

• You can stop using the service
• Email us to request account/waitlist removal

You Can Terminate

You can leave the waitlist anytime by:

• Unsubscribing from emails
• Emailing us at hello@agilito.com
• Requesting account deletion

12. Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.

Disputes will be resolved through:

1. Informal negotiation - Contact us first to resolve issues
2. Binding arbitration - If negotiation fails, arbitration in California, USA
3. Courts - As a last resort, courts in County of San Francisco, CA have exclusive jurisdiction

You waive the right to:

• Participate in class action lawsuits
• Jury trial (disputes resolved by arbitration or bench trial)

13. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Agilito.ai.

Severability

If any provision is found unenforceable, the rest of the Terms remain in effect.

No Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

Assignment

We may assign these Terms. You may not assign your rights without our consent.

Force Majeure

We're not liable for failures caused by circumstances beyond our reasonable control (natural disasters, pandemics, war, government actions, etc.).

Survival

Sections that should survive termination (liability, indemnification, governing law) will survive.

If you're using Agilito.ai on behalf of a company:

• You represent that you have authority to bind that company
• References to "you" include both you individually and the company
